Terms of Service

Terms and conditions for using the SEOscar platform.

1Agreement to Terms

By accessing or using SEOscar ("the Service"), operated by Asarum Tech ("we," "us," or "our"), you ("you" or "User") agree to be bound by these Terms of Service. If you do not agree, you may not access or use the Service.

These Terms apply to all users, including free and paid plan users, organization owners, and team members.


2Description of Service

SEOscar is a web-based SEO analysis platform that provides:

  • Website auditing and performance analysis
  • PageSpeed and Core Web Vitals monitoring
  • Search engine ranking tracking (SERP analysis)
  • AI-powered optimization recommendations
  • Batch (site-wide) crawling and analysis
  • Historical snapshot comparisons
  • Report generation and export (JSON, PDF)
  • Team collaboration and organization management
  • Kanban-style project management boards
  • Webhook integrations
  • Bring Your Own Key (BYOK) API key management

The Service is provided "as is" and "as available." We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.


3Account Registration

3.1 Eligibility

You must be at least 16 years of age to create an account.

3.2 Account Creation

You may create an account using email and password, Google OAuth, or GitHub OAuth.

3.3 Account Responsibilities

  • You are responsible for all activity under your account.
  • You must provide accurate and complete registration information.
  • You must not share your account credentials with others.
  • You must notify us immediately if you suspect unauthorized access.
  • You may not create multiple free accounts to circumvent usage limits.

3.4 Email Verification

We may require email verification to activate certain features. Unverified accounts may have limited access.


4Subscription Plans and Billing

4.1 Plans

The Service is available under multiple tiers (Free, Pro, Business, Enterprise), each with defined limits and features. Current pricing is on our pricing page.

4.2 Free Plan

Provides limited access at no cost. Limits may change with reasonable notice.

4.3 Paid Plans

  • Billed on a recurring basis (monthly or annually).
  • Payment processing handled by Stripe.
  • We do not directly collect or store payment card information.
  • Applicable VAT and sales tax are calculated and collected automatically by Stripe based on your billing location.

4.4 Usage Limits

Each plan includes monthly limits for audits, batch pages, AI requests, SERP checks, and other features. Usage resets each billing period.

4.5 Plan Changes

  • Upgrades take effect immediately.
  • Downgrades take effect at the end of the current billing period.
  • Downgrading may restrict access to features not included in the lower plan.

4.6 Cancellation and Refunds

  • Cancel at any time via the Stripe-hosted billing portal. Access continues until the end of the billing period.
  • Refunds are offered at our discretion and in accordance with applicable consumer-protection law.
  • Failed payments may result in suspension of paid features.

5Acceptable Use

5.1 Permitted Use

  • Analyze websites you own or have authorization to audit.
  • Generate reports and export data for your own use.
  • Collaborate with team members within your organization.
  • Integrate via webhooks for your own automation workflows.

5.2 Prohibited Use

  • Unauthorized scanning — analyzing websites without permission.
  • Abuse or overload — circumventing limits, creating multiple accounts, or excessive automated load.
  • Reverse engineering — decompiling or attempting to derive source code.
  • Reselling — redistributing access without written consent.
  • Harmful activity — facilitating illegal activity, harassment, or spam.
  • Data scraping — using the Service as a proxy to harvest third-party data.
  • Security interference — attempting unauthorized access to other accounts or infrastructure.
  • Misrepresentation — impersonating another person or entity.

5.3 Enforcement

We reserve the right to suspend or terminate accounts that violate these terms. Where possible, we will provide notice before suspension, except in cases of severe abuse.


6Bring Your Own Key (BYOK)

6.1 Your API Keys

  • Keys encrypted at rest and used solely to make API calls on your behalf.
  • You are responsible for security, validity, and costs of your keys.
  • Your use must comply with the respective third-party provider's terms.

6.2 Server-Managed Keys

When you don't provide keys, certain features use our server keys. Usage may be subject to additional rate limits. We are not responsible for third-party availability.

6.3 Third-Party Terms

Your use of third-party services through SEOscar is subject to those services' terms. We are not responsible for changes to third-party APIs, pricing, or availability.


7Intellectual Property

7.1 Our Intellectual Property

The Service, including its design, code, features, branding, and documentation, is the intellectual property of Asarum Tech and is protected by applicable laws.

7.2 Your Data

You retain full ownership of all data you submit. By using the Service, you grant us a limited license to process, store, and transmit your data solely for providing the Service. This license terminates when you delete your data or account.

7.3 Audit Results and Reports

Analysis results, scores, reports, and AI recommendations produced by the Service are your property. You may use, share, and distribute them freely. We do not claim ownership of any output generated on your behalf.

8Organizations and Team Collaboration

8.1 Organizations

Organization owners are responsible for managing member access and roles, ensuring team compliance with these Terms, and data shared within the organization.

8.2 Invitations

  • Sent via email, expire after 7 days.
  • Revocable by admins before acceptance.
  • Acceptance grants access according to assigned role.

8.3 Member Removal

Owners and admins may remove members at any time. Removed members immediately lose access. Data created by removed members may be retained by the organization.

8.4 Organization Deletion

Deleting an organization permanently removes all associated data (members, invitations, shared audits, batches).


9Webhooks

  • You are responsible for the availability, security, and configuration of your webhook endpoints.
  • Payloads are cryptographically signed. You should verify signatures before processing.
  • Delivered on a best-effort basis with automatic retries.
  • We do not guarantee delivery. Systems should not rely solely on webhooks for critical data.

10Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.


11Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
  • Accuracy — SEO scores and recommendations are automated. We do not guarantee their accuracy or completeness.
  • AI Recommendations — provided for informational purposes only, not professional SEO advice.
  • Third-Party Data — PageSpeed, SERP, and other data reflects conditions at time of analysis and may change.
  • Availability — we strive for high availability but do not guarantee uninterrupted access.
  • Fitness for Purpose — we do not warrant the Service will meet your specific requirements or achieve particular SEO outcomes.

12Limitation of Liability

  • No consequential damages — Asarum Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
  • Liability cap — total aggregate liability shall not exceed the amount paid in the preceding 12 months, or $50, whichever is greater.
  • Exceptions — nothing limits liability for fraud, gross negligence, willful misconduct, or liability that cannot be excluded by law.

13Indemnification

You agree to indemnify and hold harmless Asarum Tech from claims arising from:

  • Your use of the Service in violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Your use of third-party API keys through the Service.
  • Unauthorized scanning of websites without permission.
  • Content or data you submit to the Service.

14Account Termination

14.1 Termination by You

You may delete your account at any time. All data is permanently removed. Active subscriptions will be canceled. Deletion is irreversible.

14.2 Termination by Us

We may suspend or terminate accounts for Terms violations, fraudulent/illegal activity, payment failure, or legal requirements. We will provide notice and export opportunity where feasible.

14.3 Effect of Termination

Your right to use the Service ceases immediately. Sections that by nature should survive (Warranties, Liability, Indemnification, Governing Law) continue to apply.


15Modifications to Terms

We may update these Terms from time to time. We will update the "Last Updated" date and notify you via email or in-app notice for material changes. Continued use constitutes acceptance. If you disagree, you must stop using the Service.


16Governing Law and Disputes

  • These Terms are governed by applicable law, without regard to conflict of law principles.
  • Disputes shall first be attempted to be resolved through good-faith negotiation.
  • If unresolved within 30 days, either party may pursue binding arbitration or courts of competent jurisdiction.

17General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and plan-specific terms, constitute the entire agreement between you and Asarum Tech.

17.2 Severability

If any provision is found unenforceable, it shall be limited to the minimum extent necessary; remaining provisions remain in full effect.

17.3 Waiver

Failure to enforce any right or provision shall not constitute a waiver.

17.4 Assignment

You may not assign your rights without our written consent. We may assign ours without restriction.

17.5 Force Majeure

We shall not be liable for failures due to circumstances beyond our reasonable control, including natural disasters, war, labor disputes, government actions, internet failures, or third-party outages.
